Ministry of Corporate Affairs has extended the deadline for submission of INC-22A or ACTIVE form to 15th June 2019, giving companies more time to comply with a provision aimed at detecting shell (Fake or Fraud) registered companies.
“It has been finalized to extend the date to 15th June 2019” confirmed by Ministry of Corporate Affairs, official.
The disclosure rules, which got implemented from February, makes it compulsory for registered companies to upload pic/photo of their business location with minimum one director. The last date for submitting the form was Thursday, 25th April 2019. The decision came after the Ministry of Corporate Affairs received requests from Industry associations to extend the deadline, as many companies are yet to complete filling the Form 22 -A. New companies and Startups have pointed out that many of them operate out of homes/shared premises or Virtual offices.
The Government of India has launched a crackdown on Shell/Fake/Fraud companies as part of the anti-black money drive and this new rule were follow-up measures to establish the existence of only genuine registered companies. Names of thousands of shell companies were erased as a part of this move
The new norm requires all companies to upload a pic/photograph of the external side of their registered office with a name board displaying the companies name, corporate identity number, address of the company, email address and phone number. The company has to upload a pic/photo of the company interior showing at least one director who will also sign the form 22 -A.
What is INC-22A/ACTIVE form
This new electronic form INC 22A, In full for it is called as, e-Form ACTIVE (Active Company Tagging Identities and Verification), was notified as part of the Companies (Incorporation) Amendment Rules, 2019 in February 2019. If the form is filed within the due date, there is no fee, while late filing will attract a fine of Rs 10,000. Any company, who does not follow the Government norm, those companies would not be able to change its capital structure or carry out any merger or amalgamation.
